Website Access and Acceptable Use – Parker Waichman LLP

a. License and Right to Access. Subject to compliance with this Agreement, Parker Waichman LLP grants Customer a limited, non-exclusive, non-transferable, and revocable right to access and use the website and its associated services (collectively, the “Platform”) solely for Customer’s internal business operations.

b. Account Security. Customer is responsible for maintaining the confidentiality of all account login credentials, including usernames and passwords. Customer agrees to immediately notify Parker Waichman LLP of any unauthorized use of its account or any other breach of security. Customer accepts full responsibility for all activities, data uploads, and actions that occur under its account.

c. Prohibited Conduct. Customer agrees that it will not, and will not permit any third party to:

• Reverse Engineer: Copy, modify, adapt, translate, or reverse engineer any portion of the Platform, source code, or underlying technology.
• Disrupt Operations: Use any device, software, or routine to interfere or attempt to interfere with the proper working of the Platform, including introducing viruses, worms, or trojan horses.
• Data Scraping: Use automated systems, bots, spiders, or scrapers to extract data from the Platform without express written permission.
• Unlawful Use: Use the Platform for any illegal purpose, or in violation of any local, state, national, or international laws, including copyright and data privacy laws.
• Impersonation: Impersonate any person or entity, or misrepresent affiliation with any person or entity through the Platform.

d. Intellectual Property Ownership. Parker Waichman LLP retains all right, title, and interest in and to the Platform, including all software, source code, visual interfaces, graphics, design, compilation, and proprietary data. Nothing in this Agreement grants Customer any ownership rights in the Platform or its trademarks.

e. Platform Modifications and Availability. Parker Waichman LLP reserves the right to modify, update, suspend, or discontinue the Platform (or any part thereof) at any time with or without notice. Parker Waichman LLP shall not be liable to Customer or any third party for any modification, price change, suspension, or discontinuance of the Platform.
